Law Clerk
Toyota Financial Services (TFS) provides retail, leasing and wholesale financial services to Toyota and Lexus dealerships and customers across Canada. TFS is a member of Toyota Financial Services Corporation (TFSC), a wholly-owned subsidiary of Toyota Motor Corporation in Japan with the Canadian operation headquarters in Markham, Ontario. We have an immediate need for a Law Clerk to provide corporate and commercial law services as part of their legal team. We are looking for a self-motivated, and driven individual to work alongside their VP- Legal & General Counsel.
Primary Functions:
• Conduct all PPSA registrations (new, renewals and discharges), including chattel paper registrations and related documentation.
• Responsible for maintaining the corporate records, including updating the corporate registers, preparing shareholder and board of director resolutions and if required, filing corporate returns and business name registration renewals.
• Transaction Support – Responsible for preparing closing documents in connection with various financing transactions.
• Standard Form Documentation – Responsible for monitoring changes to consumer protection legislation across Canada to identify impact on the organization's operations, including a need to update existing standard form documentation.
• Third party litigation claims – Responsible for administering the third-party litigation claims management process (accept service, refer to insurer, implement litigation holds etc.) and for developing and implementing improvements to the process to reduce the impact on operations.
• Responsible for administering the Corporate Compliance Program, including conducting compliance training, annual records retention reviews, an annual CASL self- assessment, maintaining and updating the organization’s liability table and preparing amendments to corporate policies and standard operating procedures.
• Privacy – Responsible for administering the privacy policy, conducting any necessary training or investigations, responding to access requests and updating the standard form vendor documentation to include standard vendor provisions.
Qualifications & Experience
• MANDATORY - Law Clerk Diploma and Professional ILCO Certification
• University Degree preferred
• 5+ years of professional corporate law clerk experience
Knowledge & Skills
• Knowledge of corporate transaction work, corporate statutes and regulations
• Exceptional legal writing skills and communication skills
• French language skills considered an asset
• Attention to detail, with the ability to work independently
• Strong organizational, investigative, fact-finding and problem-solving skills
• Must be highly proficient in MS Office (Word, Excel, and PowerPoint)
